Welcome to Wordsify. These Terms of Service ("Terms") govern your access to and use of the Wordsify mobile application and website (collectively, the "Service") operated by Propelhaus ("we," "us," or "our").

By downloading, installing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement. If you are under 18, you represent that you have your parent's or legal guardian's permission to use the Service.

2. Service Description

Wordsify is a video transcription service that allows you to:

Extract transcripts from YouTube videos (using available captions)
Generate transcripts from TikTok videos (using AI transcription)
Copy, share, and save transcripts locally on your device
Use AI-powered features to summarize or interact with transcript content

The Service relies on third-party platforms and AI services. We do not host or store the videos you transcribe. Transcript accuracy depends on audio quality, available captions, and AI processing capabilities.

3. Subscriptions and Payments

3.1 Free and Premium Features

Wordsify offers both free features with usage limits and premium subscription plans with extended capabilities. Free usage is subject to daily or monthly limits that may change at our discretion.

3.2 In-App Purchases

Subscriptions are processed through Apple App Store or Google Play Store. By purchasing a subscription, you agree to the payment terms presented at the time of purchase and the applicable app store's terms. Current subscription options include Wordsify Pro Monthly ($4.99 USD/month) and Wordsify Pro Annual ($39.99 USD/year). Prices may vary by region and are subject to change.

3.3 Free Trial

New subscribers may be eligible for a free trial period. If you do not cancel before the free trial ends, you will be automatically charged for the subscription at the standard rate. Free trial eligibility is determined by the Apple App Store or Google Play Store and may only be available once per account.

3.4 Auto-Renewal

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. Your account will be charged for renewal within 24 hours prior to the end of the current period.

3.5 Cancellation and Refunds

You may cancel your subscription at any time through your Apple App Store or Google Play Store account settings. All purchases are final. Refunds are handled exclusively by Apple or Google according to their respective refund policies. We do not process refunds directly and cannot override app store decisions.

3.6 Data and Carrier Fees

You are responsible for any mobile carrier data charges, internet service fees, or other costs associated with accessing or using the Service on your device.

4. Acceptable Use

You agree not to use the Service to:

Transcribe content that is illegal, infringing, defamatory, or violates any third party's rights
Post, transmit, or process content that is unlawful, harmful, threatening, abusive, harassing, tortious, vulgar, obscene, or otherwise objectionable
Harm minors in any way, including transcribing content that exploits or endangers children
Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity
Upload or transmit viruses, malware, or any other malicious code that may damage or interfere with the Service
Circumvent, disable, or interfere with security features of the Service
Use automated systems or software to extract data from the Service (scraping, bots, crawlers, or similar tools)
Reverse engineer, decompile, or disassemble any aspect of the Service
Resell, sublicense, or redistribute transcripts for commercial purposes without authorization
Overload or impair the Service's infrastructure through excessive requests
Use the Service in any manner that violates applicable laws or regulations

We reserve the right (but have no obligation) to review, monitor, refuse, or remove any content or user activity that violates these Terms or that we find objectionable in our sole discretion.

5. Third-Party Content and Platforms

You are solely responsible for ensuring you have the right to transcribe any video content. By using the Service, you represent that:

You own the content or have permission from the content owner
Your use complies with YouTube's Terms of Service and Community Guidelines
Your use complies with TikTok's Terms of Service
You will not use transcripts in ways that infringe copyrights or other intellectual property rights

We do not endorse, control, or assume responsibility for any third-party content accessed through the Service.

6. Intellectual Property

6.1 Our Property

The Service, including its design, features, code, and Wordsify branding, is owned by Propelhaus and protected by intellectual property laws. You may not copy, modify, or create derivative works of the Service.

6.2 Your License

We grant you a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes in accordance with these Terms.

6.3 Transcript Ownership and License

You retain ownership of transcripts you generate, subject to any underlying rights in the original video content. We do not claim ownership of your transcripts. By using the Service, you grant us a limited, non-exclusive, royalty-free license to process your submitted URLs and generate transcripts solely for the purpose of providing the Service to you.

7. AI Processing Disclosure

The Service uses artificial intelligence for certain features:

TikTok Transcription: Audio is processed through Cloudflare Workers AI (Whisper model) to generate transcripts
AI Features: Integration with OpenAI services for summarization and other AI-powered capabilities

AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and verifying any AI-generated output before relying on it.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee:

The accuracy, completeness, or reliability of any transcript
Uninterrupted or error-free operation of the Service
Compatibility with all videos, platforms, or devices
Continued availability of any specific feature or functionality

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPELHAUS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN SUBSCRIPTION FEES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $50 CAD, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Propelhaus and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights, including intellectual property rights
Any content you transcribe that infringes upon or violates any third party's rights
Any claim that your use of transcripts caused damage to a third party

11. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including:

Violation of these Terms
Legal or regulatory requirements
Extended periods of inactivity
Non-payment of subscription fees
Conduct that we believe is harmful to the Service or other users

You may stop using the Service at any time. Upon termination, provisions that by their nature should survive will remain in effect, including ownership, disclaimers, and limitations of liability.

12. Governing Law and Disputes

These Terms are governed by the federal laws of Canada and the laws of the Province of Quebec, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the courts located in the Province of Quebec, Canada, and you consent to the personal jurisdiction of such courts.

Time Limitation: Any claim or cause of action arising out of or related to these Terms or the Service must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

Attorneys' Fees: In any action to enforce these Terms, the prevailing party shall be entitled to recover its reasonable attorneys' fees and court costs from the other party.

13. Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

14. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service with a new "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Propelhaus regarding your use of the Service and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by Propelhaus.

16.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties and their successors and permitted assigns.

16.5 No Partnership or Agency

Nothing in these Terms creates a joint venture, partnership, employment, or agency relationship between you and Propelhaus. You have no authority to bind us in any way.

16.6 Survival

The following sections shall survive any termination or expiration of these Terms: Intellectual Property, AI Processing Disclosure, Disclaimers, Limitation of Liability, Indemnification, Governing Law and Disputes, and General Provisions.

16.7 App Store Terms

If you downloaded the App from the Apple App Store, you acknowledge that these Terms are between you and Propelhaus only, not Apple. Apple has no obligation to furnish maintenance or support services for the App. Apple is not responsible for any product warranties, claims, or third-party intellectual property infringement claims related to the App. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

17. Data Disclosure

We may access, preserve, and disclose your information if we believe doing so is required or appropriate to: (a) comply with law enforcement requests and legal process; (b) enforce or investigate potential violations of these Terms; (c) respond to claims that any content violates third-party rights; (d) protect the rights, property, or safety of Propelhaus, our users, or the public; or (e) detect and prevent fraud or security issues.
